Terms of Service

By accessing or using Prixlo ("the Service"), operated by Prixlo LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Prixlo is a business management platform that provides modular tools including accounting, work management, calendar scheduling, file management, media management, and other business productivity features. The Service is provided on a subscription basis with different plan tiers.

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use the Service.
• One person or legal entity may maintain no more than one free account.
• You are responsible for all activity that occurs under your account.

• Paid plans are billed in advance on a recurring basis according to the billing frequency selected at checkout.
• You may cancel your subscription at any time. Cancellation stops future renewals and takes effect at the end of the current billing period.
• Canceling a subscription does not automatically issue a refund. You keep access to the paid plan until the paid billing period ends, unless we tell you otherwise in writing.
• We reserve the right to modify pricing with 30 days advance notice.
• If payment fails, your account may be downgraded to the Free plan after a grace period.

• Refunds are not automatic and are not triggered by canceling a subscription.
• Refund requests must be sent to contact@prixlo.com from the account owner or an authorized organization admin.
• We may approve a full or partial refund at our discretion, including for accidental duplicate charges, billing errors, or a first-time purchase where you contact us promptly after payment.
• Refund requests may be denied when there is heavy platform usage, abuse, violation of these Terms, chargeback activity, or where required records must be retained for legal, tax, fraud-prevention, or compliance reasons.
• If a refund is approved, processing time depends on Stripe, your card network, and your bank. Refunds are returned to the original payment method when possible.
• Issuing a refund may require us to end paid access immediately, downgrade the organization to the Free plan, or remove access to paid modules and features.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload malicious code, viruses, or harmful content.
• Use the Service to send spam or unsolicited communications.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell or redistribute the Service without our written consent.

• Your data belongs to you. We do not sell your data to third parties.
• We collect and process data as described in our Privacy Policy.
• You are responsible for the data you upload and share through the Service.
• We implement industry-standard security measures to protect your data.
• Upon account deletion, your data will be permanently removed within 30 days.

• API access is subject to rate limits based on your subscription plan.
• API keys must be kept confidential. You are responsible for any activity performed with your keys.
• We reserve the right to revoke API access for abuse or excessive usage.
• API endpoints and responses may change with reasonable notice.

The Service, including its design, code, features, and documentation, is owned by Prixlo LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

To the maximum extent permitted by law, Prixlo LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

• We strive for high availability but do not guarantee uninterrupted access.
• Scheduled maintenance will be communicated in advance when possible.
• We are not liable for downtime caused by factors beyond our control.

We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination where technically feasible.

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

These terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Hillsborough County, Florida.
